These Terms of Service (“Terms”) govern your access to and use of the FAIRFIX.AI™ platform, website, mobile applications, artificial-intelligence-enabled tools, connected-vehicle and OBD-II functionality, hardware, and related products and services (collectively, the “Service”) provided by FAIRFIX.AI LLC, a Wyoming limited liability company (“FAIRFIX,” “we,” “us,” or “our”).
Please read these Terms carefully.
PLEASE NOTE: SECTION 15 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 15.
1. Acceptance; Eligibility; Electronic Consent
Acceptance
By creating an account, purchasing or activating a Service, clicking an acceptance button, or otherwise accessing or using the Service, you agree to be bound by these Terms and acknowledge our Privacy Policy.
If you do not agree to these Terms, do not access or use the Service.
Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to create an account or use the Service.
The Service is currently intended for users in the United States and is not directed to individuals under 18 years of age.
Electronic Communications
You consent to receive agreements, disclosures, notices, transaction information, and other communications from FAIRFIX electronically.
You agree that electronic communications satisfy any legal requirement that communications be in writing, including requirements under the federal Electronic Signatures in Global and National Commerce Act (“E-SIGN”) and comparable laws.
You may withdraw consent to receive electronic communications where permitted by law. However, doing so may make it impossible for us to provide some or all of the Service.
2. Description of the Service
FAIRFIX provides technology designed to assist consumers with understanding vehicle repair, maintenance, diagnostic, and related information.
The Service may include:
FAIRFIX's artificial-intelligence assistant, including “Monica Intelligence”;
analysis of vehicle repair estimates;
explanations of vehicle diagnostic information;
repair-related insights and recommendations;
comparison or analysis of repair pricing or services;
vehicle information and maintenance-related tools;
communications with or referrals to independent mechanics, technicians, experts, or repair facilities;
expert consultations;
paid features and subscriptions;
OBD-II devices and related hardware;
connected-vehicle functionality;
telematics or vehicle-data functionality; and
other features FAIRFIX may introduce.
Features may vary depending on your subscription, vehicle, geographic area, hardware, device compatibility, third-party services, or other factors.
FAIRFIX may add, modify, suspend, or discontinue features of the Service from time to time, subject to applicable law and any rights associated with an existing paid subscription.
3. AI-Generated Content; Advisory Only; No Professional Advice
The Service uses artificial intelligence and machine-learning technologies, including models developed, hosted, or operated by FAIRFIX and third parties, to generate recommendations, estimates, explanations, analyses, summaries, classifications, and other content (“AI Outputs”).
Artificial-intelligence systems are probabilistic. AI Outputs may therefore be inaccurate, incomplete, outdated, misleading, or inappropriate for a particular vehicle or circumstance.
AI OUTPUTS ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.
AI Outputs do not constitute professional mechanical, engineering, safety, legal, financial, insurance, or other professional advice.
You acknowledge and agree that:
you are responsible for independently reviewing and verifying AI Outputs before relying upon them;
you should consult an appropriately qualified technician, mechanic, repair facility, manufacturer, dealer, or other professional when appropriate;
you are responsible for decisions and actions you take based upon information provided through the Service;
FAIRFIX does not guarantee that an AI Output identifies every problem, defect, repair, safety condition, component, labor operation, part, price, or other relevant fact; and
the Service is not a substitute for physical inspection, manufacturer instructions, technical service information, diagnostic testing, or the professional judgment of a qualified automotive professional.
Nothing in the Service constitutes a representation that a particular repair is necessary, unnecessary, sufficient, safe, or appropriate for a particular vehicle.
4. No Safety or Emergency Reliance
THE SERVICE IS NOT AN EMERGENCY SERVICE AND MUST NOT BE USED AS THE SOLE BASIS FOR DETERMINING WHETHER A VEHICLE IS SAFE TO DRIVE OR OPERATE.
Do not rely upon FAIRFIX or an AI Output to diagnose or resolve a condition that could affect the safe operation of a vehicle.
If a warning light indicates a potentially serious condition; you smell fuel, smoke, or burning; brakes, steering, tires, airbags, electrical systems, or other safety systems may be compromised; the vehicle is overheating; the vehicle behaves abnormally; you believe continued operation may create a danger; or a manufacturer or qualified professional recommends that the vehicle not be driven, stop operating the vehicle when it is safe to do so and obtain assistance from a qualified professional.
Call 911 or the applicable emergency service in an emergency.
4A. Vehicle, OBD-II, Connected-Vehicle, and Telematics Data
The Service may receive information from an OBD-II device, vehicle, connected-vehicle service, telematics system, manufacturer system, mobile device, or third-party integration.
Depending on the vehicle, device, permissions, integration, and features you enable, information may include:
vehicle identification number (“VIN”);
diagnostic trouble codes (“DTCs”);
warning indicators;
engine or sensor information;
emissions information;
battery information;
mileage;
trip information;
location information, including precise location where you separately enable such functionality;
speed, acceleration, braking, or other driving-related information where you enable applicable functionality; and
other vehicle-generated information.
Different vehicles and devices expose different data, and FAIRFIX does not represent that a particular data point will be available for every vehicle.
Vehicle and OBD-II information may be incomplete, delayed, unavailable, inaccurate, or incapable of identifying a particular mechanical or safety problem. FAIRFIX does not independently verify information generated by your vehicle, an OBD-II device, or a third-party connected service.
Vehicle data and AI Outputs derived from vehicle data must not be relied upon as the sole basis for determining whether a vehicle is safe to operate.
Before FAIRFIX collects vehicle or telematics information through an activated OBD-II or connected-vehicle feature, FAIRFIX will provide notice concerning the categories of information collected and the purposes for which the information will be used, as required by applicable law.
Where precise geolocation, background location, trip-history, or detailed driving-behavior information is not reasonably necessary for the core diagnostic feature requested by you, FAIRFIX may provide separate controls allowing you to enable or disable those features.
Where applicable law requires affirmative consent for collection or processing of particular vehicle, location, or telematics information, FAIRFIX will obtain such consent before the applicable collection or processing begins.
Collection, use, disclosure, retention, and protection of vehicle, telematics, location, and related personal information are further described in the Privacy Policy.
You may disable or disconnect optional connected-device functionality or withdraw applicable device permissions. Doing so may prevent associated features from operating.
5. Accounts and User Responsibilities
Certain Service features may require an account.
You agree to provide accurate, complete, and current information; maintain the accuracy of your account information; keep your login credentials confidential; use reasonable measures to prevent unauthorized access; promptly notify FAIRFIX of suspected unauthorized access or use; and remain responsible for activity occurring through your account to the extent permitted by law.
You may not impersonate another person, establish an account using information you are not authorized to use, or allow another person to use your account in violation of these Terms.
Report suspected unauthorized use to legal@fairfixai.com.
FAIRFIX may suspend or restrict an account where reasonably necessary to protect users, FAIRFIX, the Service, or third parties, investigate suspected misuse, or enforce these Terms.
6. Subscriptions, Fees, Billing, Automatic Renewal, and Cancellation
Paid Services
Certain features may require payment, including monthly or annual subscriptions, one-time purchases, expert consultations, hardware, and other paid features.
Prices, material subscription terms, and applicable charges will be disclosed at or before purchase.
Payment Processing
Payments may be processed by third-party payment processors, Apple App Store, Google Play, or another platform.
By completing a purchase, you authorize FAIRFIX and/or the applicable payment provider to charge your selected payment method for amounts disclosed in connection with the transaction.
FAIRFIX generally does not receive or store your complete payment-card number when payments are handled by a third-party processor.
Automatic Renewal
Unless otherwise disclosed at purchase, recurring subscriptions automatically renew for successive periods until cancelled.
The renewal price will be the price disclosed at purchase or the then-current subscription price where legally permitted and after any notice required by applicable law.
Where required, FAIRFIX will clearly disclose automatic-renewal terms before purchase, obtain affirmative consent, provide any required acknowledgment or confirmation, provide required renewal or price-change notices, and provide a legally compliant cancellation method.
Cancellation
You may cancel a subscription at any time.
Subscriptions purchased directly from FAIRFIX may be cancelled through the online or in-app cancellation method FAIRFIX makes available.
Subscriptions purchased through Apple App Store, Google Play, or another third-party platform generally must be cancelled through the applicable platform and are subject to its procedures.
Unless applicable law or platform rules provide otherwise, cancellation prevents future renewal and becomes effective at the end of the current paid subscription period.
Refunds
Except where required by applicable law or the policies of an applicable payment platform, amounts paid to FAIRFIX are non-refundable once earned or the applicable paid Service has been provided.
Purchases through Apple App Store or Google Play are subject to the applicable platform's billing and refund policies.
Deleting a FAIRFIX account does not, by itself, necessarily cancel a subscription purchased through a third-party platform. See Section 18.
7. Experts, Mechanics, Repair Shops, and Third-Party Interactions
The Service may facilitate communications with or provide information concerning mechanics, technicians, experts, repair facilities, dealerships, parts providers, or other third-party businesses or professionals.
Unless expressly stated otherwise, such persons and businesses are independent third parties and are not employees, agents, joint venturers, partners, franchisees, or representatives of FAIRFIX.
FAIRFIX does not itself perform vehicle repairs, is not a repair facility, does not control an independent provider's work, is not a party to a repair agreement between you and an independent provider, does not determine the provider's professional judgment, and does not guarantee a provider's availability, qualifications, licensing, pricing, recommendations, workmanship, timeliness, safety, legality, or outcome.
You are responsible for deciding whether to retain or rely upon a third-party provider.
Any repair or service agreement is between you and the applicable third party unless FAIRFIX expressly states otherwise in writing.
When you request that FAIRFIX connect you with a third party or transmit information to a third party, you authorize FAIRFIX to disclose information reasonably necessary to facilitate that interaction, as described in the Privacy Policy.
8. User Content; Privacy; AI Training; Feedback
“User Content” means information or content that you submit, upload, transmit, record, photograph, provide, or otherwise make available through the Service, including repair estimates, invoices, vehicle information, photographs, videos, documents, diagnostic information, prompts, questions, messages, and other materials.
Ownership
As between you and FAIRFIX, you retain ownership of your User Content, subject to the rights you grant below.
Operational License
You grant FAIRFIX a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transmit, modify, format, and display User Content solely as reasonably necessary to provide, operate, maintain, secure, support, develop, and improve the Service and perform functionality you request.
FAIRFIX's collection, use, disclosure, retention, and other processing of personal information contained in User Content are governed by the Privacy Policy.
AI Training
FAIRFIX does not use identifiable personal information contained in User Content to train generalized FAIRFIX artificial-intelligence or machine-learning models unless FAIRFIX expressly discloses that use and obtains any consent or other authorization required by applicable law.
FAIRFIX may use aggregated, anonymized, or de-identified information derived from use of the Service to analyze, evaluate, test, secure, maintain, develop, and improve FAIRFIX technology, artificial-intelligence systems, and the Service, subject to the Privacy Policy and applicable law.
Third-party AI and technology providers may process information on FAIRFIX's behalf to provide AI-enabled functionality. Such processing is governed by applicable contractual restrictions and the practices described in the Privacy Policy.
Your Rights in User Content
You represent and warrant that you own or possess sufficient rights in User Content to submit it; your submission does not unlawfully infringe another person's rights; you will not knowingly upload unlawful or malicious content; and you have authority to provide personal information concerning another person that you submit through the Service.
Feedback
If you voluntarily submit ideas, suggestions, comments, or feedback regarding the Service, you grant FAIRFIX a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use that feedback without restriction or compensation.
Any personal information contained in feedback remains subject to the Privacy Policy.
9. Prohibited Conduct
You agree not to use the Service for an unlawful, fraudulent, or deceptive purpose; violate applicable law or third-party rights; submit information you do not have the right to submit; impersonate another person; obtain unauthorized access; disrupt the Service; introduce malicious code; circumvent security or subscription restrictions; unlawfully scrape or reverse engineer the Service; use AI Outputs for unlawful or dangerous activity; represent AI Outputs as guaranteed diagnoses or safety determinations; or infringe another person's intellectual-property, privacy, publicity, or other rights.
FAIRFIX may investigate suspected violations and suspend or terminate access where appropriate.
10. Intellectual Property
Except for User Content and third-party materials, the Service and its contents, including software, interfaces, designs, databases, text, graphics, logos, trademarks, service marks, FAIRFIX.AI™ and Monica-related marks, models, algorithms, compilations, and other proprietary materials, are owned by FAIRFIX or its licensors.
Subject to your compliance with these Terms, FAIRFIX grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for lawful personal, non-commercial purposes.
No other rights are granted.
11. Third-Party Services, AI Providers, and Platforms
The Service may integrate with or rely upon third-party products and services, including artificial-intelligence providers, payment processors, cloud-hosting providers, OBD-II or connected-vehicle providers, mapping providers, communications services, voice-processing services, analytics providers, authentication providers, Apple, and Google.
FAIRFIX does not control independent third-party services. Your use of a third-party service may be governed by that provider's terms, policies, licenses, and privacy practices.
FAIRFIX is not responsible for an independent third party's products, services, availability, security, content, acts, or omissions except to the extent liability cannot lawfully be excluded.
Apple App Store
If you download the FAIRFIX application through Apple's App Store, these Terms are between you and FAIRFIX, not Apple. Apple is not responsible for providing or supporting the Service except as required by applicable App Store rules. You must comply with applicable App Store terms. Apple and its subsidiaries are intended third-party beneficiaries of applicable provisions of these Terms.
Google Play
If you obtain the Service through Google Play, your use is also subject to applicable Google Play terms and policies.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, AI OUTPUTS, VEHICLE INFORMATION, THIRD-PARTY INFORMATION, AND RELATED CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
FAIRFIX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RELIABILITY.
FAIRFIX DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT VEHICLE DATA WILL BE ACCURATE OR COMPLETE; THAT AN OBD-II DEVICE WILL IDENTIFY EVERY VEHICLE CONDITION; THAT AI OUTPUTS WILL BE ACCURATE OR APPROPRIATE; OR THAT A PARTICULAR REPAIR WILL RESOLVE A VEHICLE CONDITION.
Some jurisdictions do not allow exclusion of certain warranties. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAIRFIX AND ITS AFFILIATES AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by applicable law, FAIRFIX's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
(a) the amount you paid directly to FAIRFIX for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) one hundred U.S. dollars (US $100).
The foregoing limitations do not apply to liability arising from FAIRFIX's fraud, willful misconduct, or gross negligence to the extent such liability cannot lawfully be limited; to liability that applicable law prohibits FAIRFIX from limiting or excluding; or where another limitation is required by applicable law.
Some jurisdictions do not permit certain limitations of liability, in which case the applicable limitation applies only to the maximum extent permitted.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless FAIRFIX and its affiliates and their respective members, managers, officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to your unlawful or unauthorized use of the Service, your User Content, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.
This provision does not require a consumer to indemnify FAIRFIX for FAIRFIX's own unlawful conduct, negligence, or other liability that cannot lawfully be shifted to the consumer.
15. Dispute Resolution; Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT, HAVE A JURY TRIAL, AND PARTICIPATE IN A CLASS ACTION.
A. Informal Dispute Resolution
Before initiating arbitration or litigation, the party asserting a dispute must provide the other party with written notice and make a good-faith effort to resolve the dispute informally for at least thirty (30) days.
Notices to FAIRFIX must be sent to legal@fairfixai.com and should identify the account, nature and basis of the dispute, and relief requested.
This requirement does not prevent either party from seeking emergency or temporary injunctive relief where legally appropriate.
B. Agreement to Arbitrate
Except for disputes specifically excluded below, you and FAIRFIX agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Service, your account, any purchase or subscription, AI Outputs, FAIRFIX communications, or the relationship between you and FAIRFIX will be resolved by final and binding individual arbitration rather than in court.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
C. Arbitration Administrator and Rules
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by these Terms.
If AAA determines that its Mass Arbitration Supplementary Rules apply, those rules will govern the applicable proceedings.
If AAA is unavailable or unwilling to administer the arbitration and the parties cannot agree upon a substitute, a court of competent jurisdiction may appoint an administrator or arbitrator consistent with the Federal Arbitration Act.
D. Arbitration Procedure
Arbitration will be conducted before one neutral arbitrator.
The arbitrator may award any individual relief or remedy that would otherwise be available in court under applicable law.
The arbitrator will issue a written decision sufficient to explain the essential findings and conclusions supporting the award.
Arbitration may be conducted through documents, remotely, by telephone or video conference, or in person as permitted by the applicable AAA rules.
Nothing in these Terms requires a consumer to travel to Los Angeles County where doing so would unreasonably burden access to arbitration or conflict with applicable consumer-arbitration requirements.
Fees and costs will be allocated under applicable AAA consumer rules and applicable law.
E. Class-Action Waiver
YOU AND FAIRFIX AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY ASSERT CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Unless the parties expressly agree otherwise, the arbitrator may not consolidate different individuals' claims or preside over a class or representative proceeding except to the extent required by applicable law or applicable AAA rules.
If applicable law renders a particular portion of this waiver unenforceable as to a particular claim or remedy, that claim or remedy will proceed in the forum required by law while the remaining enforceable provisions continue to apply.
F. Coordinated or Mass Arbitration
If 25 or more substantially similar arbitration demands are filed in a coordinated manner and AAA determines that its Mass Arbitration Supplementary Rules apply, those rules and the applicable AAA fee schedule will govern the proceedings.
Nothing in this provision authorizes class arbitration.
G. Exceptions to Arbitration
Either party may bring an individual claim within the jurisdiction of a small-claims court; seek temporary or preliminary injunctive relief where necessary to prevent imminent unauthorized access, misuse of systems, infringement of intellectual-property rights, or comparable irreparable harm pending arbitration; or pursue a claim in court where applicable law expressly prohibits enforcement of arbitration for that claim.
Nothing in this Section prevents you from submitting a complaint, inquiry, privacy request, or other communication to a governmental, regulatory, supervisory, or law-enforcement authority, including a privacy or consumer-protection authority, where the right to do so cannot lawfully be waived.
H. Thirty-Day Right to Opt Out
You may opt out of this arbitration agreement by sending written notice within 30 days after the date you first accept these Terms.
Send the notice to legal@fairfixai.com.
Your notice must include your full name, the email address associated with your FAIRFIX account, and a clear statement that you wish to opt out of the FAIRFIX arbitration agreement.
Opting out of arbitration does not affect the remaining provisions of these Terms.
I. Changes to Arbitration Provision
If FAIRFIX materially changes this Section after the date you last accepted it, FAIRFIX will provide notice as required by applicable law.
A change will not retroactively deprive you of an arbitration opt-out right or other right where prohibited by applicable law.
16. Governing Law and Venue
These Terms are governed by California law, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 15.
To the extent a dispute is not required to be arbitrated and is not properly brought in small-claims court, the parties consent to jurisdiction in the state and federal courts located in Los Angeles County, California, except where applicable consumer law requires another forum or prohibits enforcement of that venue selection.
Nothing in this Section deprives a consumer of non-waivable protections available under applicable law.
17. Changes to These Terms
FAIRFIX may revise these Terms from time to time.
FAIRFIX will update the “Last Updated” date and provide additional notice of material changes where required by applicable law.
Unless applicable law requires affirmative consent, continued use after revised Terms become effective constitutes acceptance. Where affirmative consent is required, FAIRFIX will obtain that consent.
17A. SMS/Text Message Communications
By checking this box, you agree to receive transactional and service-related text messages from FAIRFIX.AI regarding your account, repair case, appointments, estimates, towing, parts coordination, expert consultations, and service updates. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase. See our Terms of Service and Privacy Policy.
18. Termination; Account Deletion
You may stop using the Service at any time.
You may request deletion of your FAIRFIX account through account-deletion functionality made available through the Service or by contacting FAIRFIX as described in the Privacy Policy.
Following an account-deletion request, FAIRFIX will delete or de-identify personal information associated with your account as described in the Privacy Policy and subject to lawful retention requirements, including legal compliance, accounting, tax, fraud prevention, security, dispute resolution, legal claims, privacy-request records, legal holds, and backup systems pending deletion through ordinary backup cycles.
Deleting your FAIRFIX account does not necessarily cancel an active subscription.
If you purchased a subscription through Apple App Store, Google Play, or another third-party platform, you are responsible for separately cancelling it through that platform.
FAIRFIX may suspend, restrict, or terminate access because of violation of these Terms, suspected fraud, security concerns, unlawful activity, risk of harm, nonpayment, discontinuation of the Service, or another legitimate reason permitted by law.
Termination or account deletion does not eliminate payment obligations already incurred, reverse completed transactions, affect rights or liabilities arising before termination, or require deletion of information FAIRFIX is legally permitted or required to retain.
Sections that by their nature should survive termination survive.
19. Miscellaneous
These Terms, together with the Privacy Policy and additional terms expressly presented for a particular paid product or feature, constitute the agreement between you and FAIRFIX concerning the Service.
The Privacy Policy governs FAIRFIX's processing of personal information. If these Terms and the Privacy Policy conflict concerning collection, use, disclosure, retention, or protection of personal information, the Privacy Policy controls as to that privacy issue except where applicable law requires otherwise.
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain effective, subject to Section 15.
FAIRFIX's failure to enforce a provision is not a waiver.
You may not assign these Terms without FAIRFIX's prior written consent. FAIRFIX may assign them in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction, or as otherwise permitted by law.
Neither party is liable for delay or failure caused by events beyond its reasonable control, except for obligations that cannot lawfully be excused.
